Transparent procedures and professional approach to optimize China WFOE registration process

Below are the typical procedures for engagement of China WFOE registration:

1. M&A will prepare an engagement letter and client will sign onto the engagement letter.
2. Upon receipt of a small engagement deposit, M&A will then provide client a detailed and comprehensive engagement plan, outlining a roadmap for the upcoming engagement, thus minimizing unwanted surprises and meeting client expectations.
3. We will then prepare a questionnaire for the client to fill in so that we advise the best fit legal structure for client. We will also determine the key Corporate Governance for the China enterprise together.
4. M&A China team prepares an application form requesting name approval for the Company.
5. Once the name has been approved, M&A incorporation team will hand hold the client to complete all documents required for the multi-stage application to obtain the business license. However, all documents (detailed in our engagement letter) must be submitted in Chinese. This will generally cause difficulty in translation along with the client signing documents in a foreign language. To resolve this issue, for all Chinese documents that require client’s signatures, we will prepare an instruction in English or an English translation to ensure that our client knows exactly what he signs and commits.
6. All China Companies must have an office. We can help to find to locate an office at optimized costs for client. We are still able to find business centers / virtual office offers in Shanghai, Shenzhen and Guangzhou to minimize the startup costs.
7. M&A will receive, approximately a month later, the Certificate of Approval. A scanned copy will be promptly forwarded to the client.
8. An application form accompanied with the Certificate of Approval, will be submitted to the State Administration for Industry and Commerce.
9. As part of China company set up, our Shanghai staff will liaise with the Bureau of Finance to obtain a Tax Registration License. For instance there are still some districts in Shanghai that grant preferential tax treatments / incentives. We will help to optimize the costs and benefits to clients.
10. Before a corporate bank account can be opened, a Foreign Exchange Registration Certificate is required. We will prepare an application to the Foreign Exchange Bureau.
11. Once the Foreign Exchange Registration Certificate is ready, our team completes corporate bank account opening for our client at one of the many reputable banks in the country. The banks should be able to provide multi-currency Internet banking facilities so that client can remotely control the bank transactions.
12. After the completion of the engagement for China company formation, M&A will send an engagement feedback survey to our client as a continuous improvement process.
